Who We Are

Inspired by the growth of the new economy, Bromberger Law evolved out of a traditional business and non-profit law practice to serve social enterprises. Now at the forefront of the fourth sector and social enterprise movements that have risen to prominence in recent years, Bromberger Law is leading the way, bringing social enterprise into the mainstream and sharing its benefits with the larger economy.

Our Values

Our values are integrity, honesty, humility, and service. We serve each client individually according to its own unique needs and objectives.

Areas of Focus

Our focus is social enterprise, advising entities that seek to do good while doing well, often using market-based business strategies, whether non-profit, for-profit, or hybrid, advising such organizations on all matters from inception to exit.

Business Contracts and Commercial Transactions

At Bromberger Law, our clients use contracts every day in the full spectrum of their economic activity.  The contracts we draft reflect the unique needs and concerns of our social enterprise, impact investor, nonprofit, and philanthropist clients. We also know that our clients appreciate clear and concise contract language that reflects their commitments to diversity and inclusion.

Finance and Securities Offerings

We understand how to use finance and capital structures to support our clients’ social and financial objectives. More importantly, we know that raising capital is both an art and a science; the art is in setting the terms of the deal, and the science is in documenting the terms of the deal correctly. We advise our clients on different types of securities and offer support for securities offerings such as private placements, social notes, mission-related investments (MRIs), and program-related investments (PRIs).

Impact Investing

We advise our clients as to how to structure their impact investments and provide support through every step of the investment process. Our services range from preparing term sheets and conducting initial negotiations through due diligence, valuation, deal documents, closing, post-closing follow-up, and through successive rounds of finance, if necessary, to exit, if desired. We never lose sight of our clients’ goals and obligations, including their impact goals and commitments.

Intellectual Property and Branding

Both nonprofit organizations and for-profit companies can create and own intellectual property, which is often among their most valuable assets. At Bromberger Law, we help our clients protect their intellectual property under U.S. copyright and trademark laws and develop strategies for utilizing and monetizing their intellectual property to further their social missions.

Nonprofit Formation & Tax Exemption

Bromberger Law offers comprehensive start-up services for new nonprofits, including public charities and private foundations exempt under Section 501(c)(3), as well as other types of tax-exempt organizations. From consultation regarding the planned nonprofit and its objectives to filing state incorporation documents, drafting bylaws, and applying for tax-exempt status, we perform these services and more for nonprofits, charities and foundations.

Non-Profit, For-Profit Ventures

Today’s social enterprise often combines elements of for-profit and non-profit ventures. In addition to commercial activities, the enterprise may conduct or finance charitable activities designed to positively impact society or the environment. Many activities will be expected to generate profits, but some will be designed or intended to generate social impact or benefit stakeholders rather than shareholders. In fields like health care, education, media, and technology, deploying both invested and philanthropic capital and generating earned and donated revenues simultaneously can be a huge advantage. To serve the needs of our clients, we have pioneered groundbreaking hybrid structures that give our clients access to the best features of nonprofits and for-profit ventures.

Philanthropy Services

We are well-versed in creating structures that enable our clients to create the greatest good possible. For decades, our attorneys have supported corporate and family foundations, advising on governance and compliance obligations, grant-making programs, and the use of socially responsible investments to further their missions. We also work with private operating foundations, donor-advised funds, family offices, and individuals. Our firm offers innovative but practical solutions for investing in and donating to values-aligned organizations.

For-Profit & Non-Profit Social Enterprises

We help clients select the correct legal form and ownership structure to meet their companies’ ultimate objectives, including hybrid social enterprise company structures, strategic partnerships, and joint ventures. We help growing companies arrange financing, buy and sell assets, merge and dissolve, and support founders in arranging exits. We often serve as outside general counsel to our clients — all while keeping purpose and mission in mind.

Non-profit Legal Services for Charities and Other Tax-Exempt Nonprofit Organizations

We have extensive experience advising clients on unique legal issues facing charities and other tax-exempt nonprofits. We represent a wide range of organizations, including those focusing on the arts, education, policy, climate change, housing, employment, social justice, human rights, and more. We represent private family and corporate foundations, trade associations, and other tax-exempt entities, and routinely serve as outside general counsel. With all we do for clients, we bring an innovative perspective and understanding of the nonprofit world’s fast-changing laws and best practices.
