Our focus is social enterprise, advising entities that seek to do good while doing well, often using market-based business strategies, whether non-profit, for-profit, or hybrid, advising such organizations on all matters from inception to exit.

At Bromberger Law, our clients use contracts every day in the full spectrum of their economic activity.  The contracts we draft reflect the unique needs and concerns of our social enterprise, impact investor, nonprofit, and philanthropist clients. We also know that our clients appreciate clear and concise contract language that reflects their commitments to diversity and inclusion.

 

Finance and Securities Offerings

 

We understand how to use finance and capital structures to support our clients’ social and financial objectives. More importantly, we know that raising capital is both an art and a science; the art is in setting the terms of the deal, and the science is in documenting the terms of the deal correctly. We advise our clients on different types of securities and offer support for securities offerings such as private placements, social notes, mission-related investments (MRIs), and program-related investments (PRIs).

We advise our clients as to how to structure their impact investments and provide support through every step of the investment process. Our services range from preparing term sheets and conducting initial negotiations through due diligence, valuation, deal documents, closing, post-closing follow-up, and through successive rounds of finance, if necessary, to exit, if desired. At Bromberger Law, we help our clients protect their intellectual property under U.S. copyright and trademark laws and develop strategies for utilizing and monetizing their intellectual property to further their social missions. 

 

Nonprofit Formation & Tax Exemption

 

Bromberger Law offers comprehensive start-up services for new nonprofits, including public charities and private foundations exempt under Section 501(c)(3), as well as other types of tax-exempt organizations. From consultation regarding the planned nonprofit and its objectives to filing state incorporation documents, drafting bylaws, and applying for tax-exempt status, we perform these services and more for nonprofits, charities and foundations.
